Formation Procedures and Required Documents

We follow the official procedures outlined in Egyptian laws and regulations to ensure a legally sound entity.

Legal forms and liability

Companies Law No. 159 of 1981 and Investment Law No. 72 of 2017 set the general framework for legal forms. Each form differs in liability and formation requirements.

  • One Person CompanyLiability limited to the paid-in capital, managed by a single owner.
  • Limited Liability Company (LLC)Partners are liable only up to their share of capital; the most common form for small and medium businesses.
  • Joint Stock CompanyCapital divided into tradable shares under specific rules, with wider regulatory oversight.
  • General PartnershipPartners carry unlimited and joint liability for the company's obligations.
  • Limited PartnershipCombines general partners with unlimited liability and limited partners liable up to their shares.

Required documents

  • National ID of the partners, or passport for non-Egyptians
  • Proposed company name and conflict check
  • Defined activity, capital and partners' shares
  • Notarised Articles of Association and bylaws
  • Power of attorney for whoever handles the filing
  • Bank certificate of capital deposit

Order of stages

  1. Choose the legal form under the applicable law and define the activity and capital.
  2. Reserve the name, then prepare and notarise the Articles of Association and bylaws.
  3. Deposit the capital in a bank and obtain the deposit certificate.
  4. Obtain initial approvals from the General Authority for Investment.
  5. Obtain the commercial register from the Commercial Register Office.
  6. Obtain the tax card from the Tax Authority.
  7. Register with the social insurance authority.
  8. Obtain any activity-specific licences if required.
